LinCademy Instructor Agreement policy combined to the User Agreement constitute the entire user agreement (Contract) that applies to the Members signing up to be a LinCademy Approved Instructors – Members who are allowed to use LinCademy Course Publishing tools to author, publish, promote, sell and deliver courses to other LinCademy Members on a revenue-sharing agreement between them and LinCademy Ltd. The terms definitions found in the User Agreement applies to these additional terms. LinCademy may update the Terms of this agreement (Instructor Agreement) in the future. If we update any of these terms, we will notify you in advance through the Services and or via your email. Also, we will change this page version date after updating. we reserve the right to update, upgrade or discontinue this Service in whole or in part (one or more Service aspect or feature). Any capitalized terms not defined in this document are defined as in our User Agreement.

1. Instructor Obligations 

As any other Member in LinCademy, you as instructor are fully responsible for your provided content including your recorded lectures, assignments, resources, forum discussions, feedback comments or answers, course introductory content, and any other course assets you submit (Instructional Content).

You represent and warrant to LinCademy that:

• You will provide real and correct information about your identity when signing up and continue to maintain providing complete, accurate and authentic information;
• You own, have not exclusively licensed to any third party, or have the necessary licenses, consents, authority, rights, and permissions to authorize LinCademy to use your Instructional Content as specified in the terms of this membership and our User Agreement;
• You Instructional Content will not infringe any other person’s intellectual property rights;
• You possess the necessary qualifications, credentials, experience, and expertise to offer the Services of teaching or training through your Instructional Content and use of LinCademy’s services;
• You will perform the educational or training services with the degree of care, quality and skill ordinarily exercised by professional instructors or teachers under similar circumstances; and
• You will only use the Service for professional purposes such as networking, branding, communication, learning, hiring, getting hired, as well as teaching or training.

You warrant to LinCademy that you will not:

• deliver, provide or post any inappropriate, indecent, offensive, racist, hateful, inaccurate, sexist, pornographic, false, incorrect, misleading, defamatory or libelous, or infringing content or information;
• provide, post or transmit, any unauthorized promotional materials, advertising, junk mail, spam or any other types of solicitation such as commercial materials through the Services or to any Member of LinCademy;
• engage in or perform any activity requiring LinCademy to pay royalties to or obtain licenses from any third party;
• use the information you have about your course learners for any purpose other than performing educational or training services and providing these services to the learners; or
• solicit additional personal information or store the personal information of LinCademy learners.

2. Our Right to Your Course Content

Our right to your course content (Instructional Content) is the same as our rights to any other types of content posted, uploaded or submitted within the Services (non-exclusive right: You are still the owner); please, read Section 3.1 “our Rights to the Content you Provide” in our User Agreement. We only sublicense the rights to your provided Instructional Content to our learners.

Except as otherwise agreed, you have the right to remove your Instructional Content from LinCademy at any time, and then LinCademy’s right to sublicense your removed content will terminate regarding new users in 60 days after you request to remove your Instructional Content. After 60 days from your request, we will close your course for new enrollment. However, (1) rights given to learners of the affected course will continue in the same manner of the terms of those rights (including any lifetime access we grant to our learners) and (2) LinCademy’s right to use your Instructional Content for marketing shall survive termination.

We may access, copy, record, and use your Instructional Content (in whole or in part) for quality control purposes and for delivering, promoting, marketing, operating, or demonstrating the Services. you agree that LinCademy may use your name, recorded voice, image, and likeness in connection with delivering, offering, promoting, marketing, selling, and demonstrating the Services, LinCademy’s content, or your Instructional Content, and you agree that you waive any rights of publicity, privacy, or any other similar rights, to the extent permitted by applicable law.

3. Training Service Standards and Moderation

3.1. Training Service Policy

You agree to abide by our Professional Community Standards and any other quality standards, instructions or policies LinCademy may prescribe from time to time.
with respect to your Instructional Content and all your activities as instructor within the Service. It is prohibited to include any materials in your Instructional Content that is against or Professional Community Standards such as Instructional Content related to sexuality, nudity, dating, relationships, weapons assembly, violence and bodily harm, self-mutilation, and terrorist activities. You need to check these standards, guidelines or policies from time to time to ensure that you always comply with the latest updates.

Before publishing your course, we do quality checks to make sure it complies with our rules, standards and guidelines. We also share moderating our community with our Members as we have a reporting system through which Members can report any activity or content including published courses, in addition to the course review feature where learners may rate and add comments on the course landing page about their learning experience.

You need to understand that we may grant or deny your use of the Services including this Training Service at our sole discretion. We reserve the right to remove any content including your Instructional Content, suspend your payouts, disapprove instructors (removing the capabilities related to the approved instructors) for any reason at any time, without prior notice, including in cases where:

• an instructor or his or her Instructional Content does not comply with any of our relevant policies or legal terms such as this agreement, our User Agreement, and Intellectual Property Policy;
• an instructor is not following our Professional Community Standards;
• Instructional Content is not following our Professional Community Standards, falls below LinCademy quality standards, or has a negative learning experience on the learners;
• an instructor engages in a behavior that may reflect unfavorably on LinCademy or bring LinCademy into public contempt, disrepute, or scandal;
• an instructor uses the services of a marketer or of any other business that violates LinCademy’s policies;
• an instructor’s use of the Services constitutes unfair competition; or
• as determined by LinCademy in its sole discretion.

Getting unlisted from our approved instructors list doesn’t affect your access to your current membership on LinCademy.

3.2. Your Content Storing, Privacy and Securing

Our Services are designed in a way that protects your content on LinCademy from unauthorized access except you set your course as free for any Member to get enrolled in. Please, read LinCademy Privacy Policy (“Learning and Teaching” section and “Security of your Personal Data” section) for more information. Also, LinCademy respects the intellectual property rights of others including LinCademy Approved Instructors and does all the necessary activities to protect copyrights for any content published on LinCademy including courses. For more information, please read our Intellectual Property Policy.

In addition, we also do anti-piracy activities for more protection, and we may partner with third-party service providers to help with anti-piracy activities. You hereby agree to appoint LinCademy and its anti-piracy service providers as your agents to enforce copyrights for your Instructional Content published on LinCademy through efforts that include notice and takedown processes. You agree to grant LinCademy and its anti-piracy partners the necessary authority to file notices on behalf of you to enforce your content copyrights. You agree that these rights will be retained by LinCademy and its anti-piracy partners unless you revoke them. For improved course content streaming, we may host your content on a third-party platform, and they are under an obligation not to disclose or use your content for other purposes. Please, read LinCademy Privacy Policy (Service Providers section) for more information.

3.3. Relationship between Parties

LinCademy Approved Instructors are not LinCademy’s employees, they are clients whose contents are sublicensed to other Members (learners). LinCademy Approved Instructors do not have any direct contractual relationship with other Members within the Services, so the only information you, as an instructor, will receive about your Instructional Content learners is what the Services provide you. You agree that you will not:

• use the information you have about your course learners for any purpose other than performing educational or training services and providing these services to the learners; or
• solicit additional personal information or store the personal information of LinCademy learners.

Also, you agree to indemnify LinCademy against any claims that may arise from your use of learners’ personal information..

4. Pricing

4.1. Course Price Setting

You can choose to set your course as free or paid during submitting your Instructional Content. For your paid courses, you need to select Base Price that has a minimum value which you will be informed of via the applicable course publishing instructional documents. 

When a Member purchases your Instructional Content through a mobile app, the mobile app platform provider’s pricing method will control, and LinCademy will choose the price closest to your Base Price you set. You should also know that mobile apps platforms have their own currency conversion rates when a Member buys your Instructional Content using their local currency that is different than the one we use on our platform.

You agree that we may share your published courses for free (without any compensation paid to you) with LinCademy employees, selected partners, Members who restored access to their accounts and they previously purchased your Instructional Content. You understand that you will not receive compensation in these cases.

4.2. Partial Payment with Tokens

To encourage our Members, increase rates of their engagement with the Services, and increase their number, we are implementing a gamification method that allows them to collect tokens (called Plinkies) while they are using the Service. This will help to increase the reach to your published Instructional Content (courses) which will expectedly increase the revenue potential in our platform. So, this is considered marketing tool within our Services. You agree that LinCademy’s Members may partially (up to 50% in each sale) pay for your published Instructional Content (Courses) using their collected LinCademy’s tokens (Plinkies). You agree that you will not receive any compensation for this partial payment.

4.3. Transaction Taxes Costs

Many countries impose “Transaction Taxes” such as Value Added Taxes (VAT) on financial transactions, and these countries require remitting these collected taxes. If a Member purchases one of our services or products in a country requiring LinCademy, under applicable law, to remit Transaction Taxes, we will collect and remit them to the applicable tax authorities for the affected sales. We, at our discretion, may increase the sale price of your Instructional Content where we determine such taxes may be due. When your course is sold through mobile phone, mobile apps platforms such as Apple’s App Store or Google Play collect the applicable Transaction Taxes.

5. Payment

5.1. Revenue Sharing

We calculate the actual amounts received from the course learners (with any refunds taken off), and this is called “Gross Sales“. From this, we calculate the “Net Profit” which is the Gross Sales minus Transaction Taxes (if any), mobile platform fees (for purchases done through mobile apps), a 4 % as service and processing fee (for purchases not done through mobile apps platforms), and any fees paid to third parties through our Course Promotional Program (if the instructor is participating in the program). Of the Net Profit, your revenue share is 50% minus any applicable deductions set by the law (if any) such as withholding taxes and refund deductions based on our Refund Policy.

We send the instructors’ share in U.S. dollars. LinCademy is not responsible for any fees coming from your foreign currency conversion rates, wiring, or any other payment processing you may incur.

5.2. Receiving Payments

To receive your payments regularly, you need to have PayPal account or U.K. bank account (for U.K. residents only), and you need to keep us updated of the correct details of your chosen payout method.

You also need to provide us with the necessary identifying information or tax documentation we may request you to send, and you agree that LinCademy has the right to withhold any appropriate taxes from your due payments. LinCademy reserves the right to withhold certain payments or impose other penalties if you do not send the proper identifying information or tax documentation. You acknowledge and agree that you are responsible for any applicable taxes on your income.

We will send the instructor’s share within 45 days of the end of the month when sales were made.

your eligibility to be paid by a U.K. company is your responsibility, i.e., signing up in LinCademy as an instructor means you claim you are eligible to be paid by a U.K. company. LinCademy reserves the right not to pay out any funds to instructors who have committed fraud or done violations of the law or intellectual property rights.

5.3. Refund

You agree that learners have the right to claim and receive a refund. As mentioned in our User Agreement, if learners are not satisfied with the purchased course, they can ask for a refund, provided the refund request meets the conditions detailed in our Refund Policy. The instructors receive no revenue from a sale done for purchasing their published course that is refunded to the learner. 

If we approve a refund requested from a learner after we have sent the relevant instructor his share, we reserve the right to either (1) require the relevant instructor to pay any amounts refunded to that learner or (2) deduct the refunded amount from the instructor’s next payment.

6. Trademarks

As a published instructor you may use LinCademy trademarks when you are authorized and subject to the following requirements:

You must:

• only use the versions of LinCademy trademarks we authorize you to use;
• only use LinCademy trademarks in connection with the marketing and sale of your Instructional Content submitted and available on LinCademy or your participation on LinCademy; and
• immediately comply if LinCademy requests that you discontinue use LinCademy trademarks.

You must not use LinCademy trademarks in:

• a disparaging or misleading way;
• a way that indicates or implies that we sponsor, endorse, or approve of your Instructional Content or services available on the Service; or
• violation of applicable laws or in connection with an indecent, obscene, or unlawful material.

7. Instructor Agreement Termination

This agreement will be terminated if you get disapproved as an Instructors on LinCademy, or your LinCademy account is deleted. your instructional Content (authored courses) will be deleted if they are not published or published and have no enrollees. Also, the terms of this agreement will not be applicable to your published course that has been deleted. However, (1) your courses will remain participating in any applicable sales, or marketing campaign as long as those sales, marketing campaigns, or promotions are active until they are completed if you are participating in our Instructional Content Promotional Program, and (2) the rights given to learners enrolled in your courses will continue in the same manner of the terms of those rights (including any lifetime access we grant to our learners to access your name, biography and Instructional Content).

8. General Legal Terms

8.1. Survival Terms

The sections that follow shall survive termination or the expiration of these Terms: Sections 2 (our right to your course content), 3.3 (Relationship between Parties), 5.2 (Receiving Payments), 5.3 (Refunds), and 7 (Deleting your Account)..
